For buy-side clients we can conduct cost-effective due diligence and assist with developing and negotiating transaction and ancillary documentation including SPAs, farmout agreements, hydrocarbons sales, royalties and financing agreements. Upstream Contract Advisory
The HEA team can help with negotiating and drafting the wide range of upstream petroleum contracts which oil companies enter into with one another. Such contracts would include the joint operating agreement, the unit operating agreement, decommissioning security agreements, infrastructure contracts such as transportation processing and operating services agreements, co-mingling agreements, pipeline-crossing agreements and product sales agreements covering gas, condensate and oil. HEA can provide specific legal input into these agreements or combine it with full commercial and economic analysis support.
Supply Chain Agreements
The HEA team can assist with negotiating and drafting industry oil service, construction and decommissioning contracts on behalf of both oil companies and the supply chain. Agreements can range from seismic acquisition to well management, drilling, downhole services, subsea construction and topsides and FPSO work. The team have experience of both the UK LOGIC standard but also assists clients on contracting internationally.
